SimCortex

This Terms of Service ("Agreement") is a legal agreement between you (either an individual or entity) and SimCortex Pty Ltd ("SimCortex", "we", "us", or "our"), a company registered in New South Wales, Australia. By purchasing, downloading, installing, accessing or using the SimCortex AI assistant ("Product"), you acknowledge that you have read, understand, and agree to be bound by this Agreement.

Acceptance of Terms

By purchasing, downloading, installing, accessing, or using the Product, you agree to comply with and be bound by the terms of this Agreement and our Privacy Policy. If you do not agree with any of the terms, you must not purchase or use the Product.

License and Use of the Product

You must use the Product in compliance with all applicable laws, rules, and regulations, including but not limited to copyright laws.

Subject to your compliance with this Agreement, SimCortex grants you a non-exclusive, non-transferable, revocable, perpetual license to install and use the Product on devices you own or control, with only one concurrent instance running at any time, strictly for your personal, non-commercial use only. A free SimCortex account is required to use the Product; voice control, spoken responses, and game-state queries are free, while advanced AI features require a paid license as described under Purchase and Refunds.

You may not rent, lease, lend, sell, redistribute, sublicense, share your account or license entitlement, run multiple concurrent instances, reverse engineer, decompile, disassemble, or create derivative works of the Product.

Your Account and License

Access to the Product requires signing in to a SimCortex account. Your license is tied to that account, validated by SimCortex's servers, and follows your account across the devices you use — there is no separate product key to enter and no on-device activation step. You must keep your account credentials confidential and are responsible for activity under your account; advanced AI features require an active internet connection.

SimCortex reserves the right to suspend or revoke your account or license entitlement if we suspect any breach of this Agreement, which may affect your ability to use paid features or receive updates.

Purchase and Refunds

The Product is free to download and use with a SimCortex account. Advanced AI features require a one-time purchase of a license. You agree to pay the specified purchase price displayed at the time of your order. Payment must be successfully processed before the license is granted.

All purchases are final and fees are non-refundable, except where required by applicable consumer law (such as the Australian Consumer Law guarantees) or as otherwise explicitly stated by SimCortex in writing (e.g., a specific limited refund offer).

Privacy

Your purchase and use of the Product and related services are subject to our Privacy Policy. Please review the Privacy Policy for more information on how we collect and use data relating to the use and performance of our products and services.

Limitations on Liability

The Product is provided "as is" and "as available" without any warranty of any kind, express or implied. SimCortex does not guarantee that the Product will meet your requirements or that its operation will be uninterrupted or error-free.

To the maximum extent permitted by law, in no event will SimCortex be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, good-will, or other intangible losses, resulting from your access to or use of or inability to access or use the Product.

Changes to the Agreement

We reserve the right to modify this Agreement at any time. If we make changes to this Agreement, we will provide notice of such changes, such as by sending an email notification, providing notice through the Product interface or our website, or updating the "Effective Date" at the top of this Agreement. Your continued use of the Product after any modification constitutes your acceptance of the modified Agreement.

Jurisdiction

This Agreement is governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in New South Wales, Australia to resolve any legal matter arising from this Agreement.
